These Terms of Service constitute a legally binding agreement between you and biotronex AS (registration number 253614798), a company registered in Norway with its registered office at Olav Tryggvasons gate 101, 5059 Bergen, Vestland, Norway.
biotronex provides retail inventory performance analytics platforms and related services. Our services include but are not limited to analytics software, demand forecasting tools, stock optimisation solutions, and consulting services for retail businesses.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to our users.
You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of our services complies with all applicable laws and regulations in your jurisdiction.
You must not use our services to transmit, distribute, or store material that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable. You must not attempt to gain unauthorised access to our systems or interfere with the proper functioning of our services.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and data, are owned by biotronex or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to use our services for your internal business purposes in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works of our content without our express written permission.
Any feedback, suggestions, or improvements you provide regarding our services may be used by biotronex without restriction or compensation to you.
If you subscribe to our paid services, you agree to pay all applicable fees as described in your subscription agreement. Fees are generally charged in advance on a monthly or annual basis and are non-refundable except as expressly stated in your subscription agreement.
We reserve the right to modify our pricing with reasonable advance notice. Price changes will not affect your current subscription period but will apply to subsequent renewal periods.
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.
You retain ownership of any data you provide to our services. You grant biotronex a licence to use, process, and analyse your data solely for the purpose of providing our services to you.
To the fullest extent permitted by law, biotronex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of our services.
Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you to biotronex in the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless biotronex, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or your violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Norway.
If you are a consumer residing in the European Union, you may also have rights under the laws of your country of residence, and nothing in these Terms affects those rights.
You may terminate your account and stop using our services at any time by contacting us or through your account settings. We may terminate or suspend your account and access to our services immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.
Upon termination, your right to use our services will cease immediately. We may retain certain information as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, limitation of liability, and governing law.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
If you do not agree to the modified Terms, you must stop using our services and may terminate your account.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and biotronex regarding your use of our services and supersede all prior agreements and understandings.
